As regras gerais do Direito Civil e o princípio da autonomia da vontade permitem a criação do direito de opção de compra, mas, muitas vezes, a falta de regulamentação específica cria incerteza e insegurança quanto aos efeitos que se pretende alcançar e abate a adequada proteção dos interesses das partes, regulados conforme a sua liberdade de contratar.

Com exceção de algumas situações específicas que traremos de exemplo no presente estudo, atinentes às opções de compra regulamentadas do mercado mobiliário, o titular do direito de opção de compra – o beneficiário – não dispõe de mecanismos satisfatórios para a proteção de referido direito, em especial para lhe assegurar a execução in natura do bem opcionado.

Muitas vezes, em caso de inadimplemento por quem lhe concedeu o direito de opção de compra – o outorgante – , a única solução cabível pode ser a insatisfatória indenização por perdas e danos, em especial se referido inadimplemento envolver interesses de terceiros.

O Direito estrangeiro é objeto de estudo no presente trabalho, em especial para ser possível a análise do funcionamento da opção de compra em sistemas jurídicos nos quais lhe foi dispensada alguma regulamentação, ainda que geral ou incipiente.

Tal estudo foi especialmente importante para um entendimento mais profundo das vantagens da possibilidade de se dar publicidade às opções de compra, especialmente àquelas que tenham por objeto bens imóveis, porque em nosso sistema jurídico deparamo-nos com as restrições do sistema registrário vigente.

Exatamente essa a proposta do presente estudo: verificar os limites legais ao uso da opção de compra imobiliária, isto é, a diferença entre os efeitos jurídicos pretendidos e alcançados, na prática, pelas partes contratantes, e sugerir mecanismos que possam facilitar o atendimento dos objetivos das partes e da função social do contrato de opção.
